Good Morning All, this is a request for an update from staff regarding the legal advice I requested at our 9/5/23 meeting. I am one of three members of this 7-member SHFC board who are also appointed to the 5-member HATC board. The three of us who are dual appointees constitute a quorum of the HATC board whenever all three of us attend any SHFC board meeting.

As I stated at our 9/5/23 meeting, I need guidance on how to navigate potential conflicts of interest and fulfill my duties to this board and the HATC board as HATC possibly moves to terminate the ILA between SHFC and HATC.

Thank you Director Webber for articulating the need for professional guidance to the three appointees, including myself and Director Roberts, who were appointed to both boards, as we navigate any potential conflicts of interest in our dual roles and deliberations moving forward toward a possible termination of the ILA between SHFC and HATC. I look forward to staff and counsel assistance with the process and clarification on these issues.

In addition to the potential issues with dual-appointees, the HATC Chair has also indicated to me and Mr. Howard that HATC lawyers (Mr. Plummer of Bracewell) determined that HATC-employed staff could not assist the SHFC Board in analyzing or preparing ILA-termination-based requests of HATC as it presented a conflict.

I requested documentation of that opinion on September 26th and again today. I will share it with the SHFC Board as soon as I receive it.

Based on the update from SHFC Chair, Julio Gonzalez Altimarano above, it appears that SHFC is becoming ever more vulnerable without the essential support of legal counsel and staff assistance in preparing for HATC Initiated ILA Termination. This seems untenable to me. In order to plan how to overcome the increasing risks we face, I am also requesting the document as prepared by Mr. Plummer of Bracewell and as sent to Patrick Howard in September, be released for review by SHFC Chair, Julio and all SHFC Board members.
